UltraBeing Website and Early Access Terms

These Website and Early Access Terms (the “Terms”) are a legal agreement between you and Hey Thera, Inc., doing business as UltraBeing (“UltraBeing,” “we,” “us” or “our”). They govern your use of https://www.ultrabeing.ai (the “Site”) and your request for early access. By using the Site or requesting early access, you agree to these Terms. If you do not agree, do not use the Site or submit the form.

You must be at least 18 years old and legally able to enter into these Terms. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization.

Submitting your email address asks us to consider you for early access. It does not guarantee an invitation, reserve a place, promise a launch date or require payment. We may determine eligibility, timing, platform and geographic availability, and may change, pause or close the early-access list at any time.

The Site may describe or show planned, prototype, beta or pre-release features. Interfaces, workflows, outputs, features, availability and timing may change. These previews explain the intended product direction and are not a promise that every feature or result shown is currently available or will be released in the same form.

The Site is for general information and early access only. It does not provide medical advice, diagnosis, treatment, a prescription or emergency care, and using the Site or joining the early-access list does not create a doctor-patient relationship. Do not rely on the Site instead of seeking advice or care from a qualified healthcare professional.

References to an “AI doctor” describe UltraBeing’s intended product experience and do not mean that the software is a licensed medical professional. Any clinical care offered through UltraBeing, including diagnoses, prescriptions, lab orders or treatment changes, must be provided, approved or reviewed by an appropriately licensed clinician as required by applicable law and will be subject to separate clinical and product terms.

If you think you may harm yourself or someone else, or you may be experiencing a medical or mental-health emergency, call local emergency services or go to the nearest emergency department.

By requesting early access, you ask us to send messages about your request, early-access availability, invitations and relevant UltraBeing updates. You may unsubscribe from optional marketing emails at any time.

You may use the Site only for lawful purposes. You must not interfere with the Site, attempt unauthorized access or introduce malicious code; use automated means to scrape or extract the Site except as permitted by our published instructions or written permission; impersonate another person, submit an email address without authority, or use the Site for fraud or harassment; reverse engineer the Site or use protected Site content in violation of applicable intellectual-property law; or send medical records or other sensitive health information through the early-access form or ordinary email.

The Site and its design, text, graphics, logos, product previews, software and other content are owned by or licensed to UltraBeing and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive and non-transferable right to access the Site for its intended purpose. No other rights are granted.

If you voluntarily provide feedback or suggestions, you grant UltraBeing a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate them without restriction or compensation. This does not transfer ownership of your personal information, which is handled under the Privacy Notice.

Our handling of personal information collected through the Site and early-access list is described in the UltraBeing Website Privacy Notice at https://www.ultrabeing.ai/privacy-policy.

The Site may link to third-party websites or services. We do not control and are not responsible for their content, availability, security or privacy practices. Your use of a third-party service is governed by that party’s terms and policies.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND EARLY-ACCESS LIST ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ULTRABEING DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND AVAILABILITY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR COMPLETE, OR THAT AN INVITATION, PRODUCT OR FEATURE WILL BECOME AVAILABLE. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULTRABEING AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, GOODWILL, PROFITS OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SITE, EARLY-ACCESS LIST OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE, EARLY-ACCESS LIST OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID US FOR USE OF THE SITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.

We may change or discontinue the Site, the early-access list or these Terms. We will post revised Terms with an updated effective date. You may stop using the Site or ask us to remove you from the early-access list at any time. We may remove an early-access request if we reasonably believe these Terms were violated or the Site was misused.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except where applicable consumer law requires otherwise. Any dispute arising from these Terms or the Site will be brought in the state or federal courts located in San Francisco County, California, and each party consents to their jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.

These Terms and the Privacy Notice are the entire agreement about the Site and early-access list. If any provision is unenforceable, it will be modified or severed to the minimum extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a financing, reorganization, merger, acquisition or sale of assets.
